Welcome to GirishGPO. By accessing or using our subscription program and services, you agree
to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms,
please do not use our services.

1. Subscription Eligibility

To become a member, you must:

• Be at least 18 + years old.
• Provide accurate and complete information during registration.
• Comply with all applicable laws and regulations.

2. Subscription Registration

We use the information we collect for the following purposes:

• Application: To apply for subscription, complete the registration process by providing
  the required information and agreeing to these Terms.
• Approval: Subscription is subject to approval by GirishGPO. We reserve the right to
  reject any application at our discretion.
• Account: You are responsible for maintaining the confidentiality of your account
  credentials and for all activities that occur under your account.

3. Subscription Fees and Payments

We may share your information in the following circumstances:

• Fees: Subscription fees are $150/year for individuals, $250/year for businesses, $25/year
  for employees of the business.
• Payment: Payments must be made through the methods provided during the registration
  process. All fees are non-refundable except as required by law.
• Renewal: Your subscription will automatically renew at the end of each term unless you
  cancel it in accordance with our cancellation policy.

4. Use of Services

• Permitted Use: You agree to use our services for lawful purposes only and in accordance
  with these Terms.
• Prohibited Activities: You may not engage in any activity that is illegal, harmful, or that
  interferes with our services or other members’ enjoyment of the services.

5. Termination and Suspension

• Termination by Us: We may suspend or terminate your subscription at any time if you
  breach these Terms or if we determine that continued subscription is not in our best
  interest.
• Termination by You: You may cancel your subscription by following the procedure
  outlined in our cancellation policy.
• Effects of Termination: Upon termination, you will no longer have access to our
  services, and any outstanding fees will remain payable.

6. Intellectual Property

• Ownership: All intellectual property rights in our services, including trademarks, logos,
  and content, are owned by GirishGPO or its licensors.
• Restrictions: You may not use our intellectual property for any commercial purposes
  without our express written permission.

7.  Limitation of Liability

• Disclaimer: Our services are provided “as is” and “as available.” We make no warranties
  or representations, express or implied, regarding the reliability or accuracy of our services
  nor the services or goods provided by any source to whom you may be introduced
  through our services. Girish GPO is a separate entity from any provider, supplier or
  source, and Girish GPO is not a party to any agreement that you may enter into with any
  such source or provider of goods or services.
• Liability: To the maximum extent permitted by law, GirishGPO shall not be liable for
  any indirect, incidental, special, or consequential damages arising out of or in connection
  with your use of our services.

8. Indemnification

You agree to indemnify and hold harmless GirishGPO, its affiliates, officers, directors, and
employees from any claims, liabilities, damages, losses, or expenses arising out of your use of
our services or any violation of these Terms.

9. Privacy

Your use of our services is governed by our Privacy Statement  which
outlines how we collect, use, and protect your personal information.

10. Changes to Terms

We may update these Terms from time to time. Any changes will be posted on our website, and
your continued use of our services constitutes your acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Illinois.
• Dispute Resolution: Dispute Resolution: Any disputes arising from these Terms or your use of our services will be resolved through Before any party may bring an action in court or against the other, or commence an arbitration proceeding, the parties must first meet to mediate the dispute. The mediation will be held in the northern district of Illiinois. Any such mediation will be non-binding and conducted in a manner consistent with standards of the American Arbitration Association in accordance with its then current rules for mediation of commercial disputes.
